SECTION 1.2

Description of the concentration

The notified transaction constitutes a concentration pursuant to Articles 3(1)(b) and 3(4) of the EUMR, involving the acquisition of joint control by Interparking Servizi S.r.l. and Ospedale San Raffaele S.r.l. of a newly created full–function company (the JV), and an off-street parking lot located in Milan in the area nearby the San Raffaele Hospital (the Parking Lot). The JV will be also entrusted with the management of two other parking lots located in the same area, currently managed by Ospedale San Raffaele S.r.l. (P6 and P7).

The notified transaction will be implemented by way of purchase of shares in the JV and, through the JV, of a newly created special purpose vehicle company to which the Parking Lot and related assets will be previously transferred, as well as by way of a 35-year management contract in favour of the JV as concerns P6 and P7.

The business activities of the undertakings concerned are:

-- Interparking Servizi S.r.l., a company incorporated in Italy, is active in the management of paid parking lots in Italy. It is a sub-holding company of Interparking SA, a company incorporated under Belgian law, holding of Interparking Group, active in the design, construction and management of paid public car parking. Interparking is indirectly controlled by Ageas Group, which mainly provides life and non-life insurance services to personal, business and institutional customers, active in Europe and in Asia.

-- Ospedale San Raffaele S.r.l., a company incorporated in Italy, is part of Gruppo San Donato, a private hospital group in Italy. It is a Scientific Hospitalization and Care Institute, founded in 1971 to provide specialized assistance and contribute to the development of new therapies for many diseases.

-- The Parking Lot is an off-street parking (indoor) located nearby the San Raffaele Hospital, which is currently owned by Ospedale San Raffaele (Nudo Proprietario) and managed by a third party based on a long term right in rem (Diritto di Superficie).
