On 27 July, the Commission received notification of a proposed concentration pursuant to Article 4 of the EU Merger Regulation by which Mitsui & Co., Ltd., ("Mitsui") intends to acquire a joint controlling interest over Celanese Corporation’s ("Celanese") food ingredients business ("Target") by way of purchase of membership interest. Celanese will remain a controlling shareholder of the Target.
Mitsui is a trading, business management and project development company, headquartered in Tokyo, Japan. Mitsui operates worldwide and is active in various sectors, including iron and steel products, mineral and metal resources, infrastructure projects, mobility, chemicals, energy, food resources, consumer service, and IT and communication / corporate development.
Celanese is a global chemical and specialty materials company. Celanese is a leading global producer of high-performance engineered polymers that are used in a variety of high-value applications, as well as one of the world’s largest producers of acetyl products, which are intermediate chemicals for major industries.
The Target is the existing food ingredients business of Celanese, which is active in the production of the sweetener Ace-K; the preservatives potassium sorbate & sorbic acid; and to a minor extent ammonium sulphate, all of which are produced out of its manufacturing site in Frankfurt, Germany.
