SECTION 1.2

Description of the concentration

The proposed Transaction involves the acquisition of joint control by Renault, S.A.S. (“Renault”), through its subsidiary Renault Mobility as an Industry, and Ferrovial, S.A. (“Ferrovial”), through its subsidiary Ferrovial Mobility, S.L.U., over Car Sharing Mobility Services, S.L. (“Zity Hub”), a company organized under the laws of Spain for the provision of car-sharing services in the urban area of Madrid under the Zity trademark and in which Renault and Ferrovial respectively already hold 20% and 80% stakes.

More specifically, Renault Mobility as an Industry will acquire shares representing 20% of Zity Hub’s share capital from RECSA and 30% from Ferrovial, which will result in Renault Mobility as a Service and Ferrovial holding equal 50% stakes in Zity Hub’s share capital. The Transaction will involve a change from sole control by Ferrovial to joint control by Ferrovial and Renault.

Since the acquisition of joint control over Zity Hub will imply the creation of a joint venture performing on a lasting basis all the functions of an autonomous economic entity within the meaning of Article 3(4) of the Merger Regulation, the Transaction will constitute a concentration within the meaning of Article 3 paragraph 1(b) of said Regulation.

Renault is a France-based multinational company active in the automotive sector, its main activity being the manufacturing and supply of passenger cars. While its main activity is the manufacturing and supply of passenger cars under the Renault, Dacia, Renault Samsung Motors, Alpine and LADA brands, it also sells second-hand vehicles, spare parts for Renault, Dacia and Renault Samsung Motors and vehicles to other manufacturers that sell them under their own brands (for example, Fiat, Daimler and GM).

Ferrovial is a Spain based-international infrastructure constructor and operator and a service provider. It is active in four main business lines services (currently subject to a divestment), toll roads, construction and airports. In addition, it has also activities in the construction and operation of water treatment, purification and desalination plants, management of over 400 kilometers of power lines and a newly created mobility unit that seeks to promote and develop opportunities for new forms of mobility.

Zity Hub, has been providing car-sharing services in Madrid since 2017. Through this Transaction, Renault and Ferrovial will join forces in order to geographically expand the joint venture’s car-sharing business under the Zity Hub trademark, its applications, systems and technology to other cities, starting with Paris. Through this Transaction, Renault and Ferrovial will join forces in order to geographically expand Zity Hub’s car-sharing business, starting with the city of Paris.
