SECTION 1.2

Description of the concentration

This notification relates to a proposed concentration whereby certain funds of the Bain Capital group, controlled by Bain Capital Investors LLC (their general partner), would acquire sole control, within the meaning of Article 3(1)(b) of the EC Merger Regulation, over the Bath & Kitchen Business of American Standard Companies Inc., by means of a purchase of shares and assets.

Bain Capital Investors, LLC is part of the Bain Capital group. The business activities of the undertakings concerned are:

• for Bain Capital: private equity investment firm; and

• for the B&K Business: global manufacturer of bath and kitchen products.

The proposed concentration does not create any reportable market.
