SECTION 1.2

Description of the concentration

The notified transaction involves the acquisition of sole control within the meaning of Article 3(1)(b) of the Merger Regulation, of Armonea Group NV (“Armonea”) by Financière Colisée S.A.S. (“Colisée”). The transaction will take place pursuant to a share purchase agreement.

Colisée is a French nursing home operator, which manages nursing homes and provides homecare services. Colisée is controlled by Indigo International, a company controlled by IK VIII Limited, a fund operated by IK Investment Partners.

IK Investment Partners (“IK”) is a European private equity company, composed of five active funds, including IK VIII Limited that controls Colisée. IK invests in middle to big-sized European companies, active in varied economic sectors.

Armonea is a Belgian nursing home operator, which manages nursing homes, service flats, and residencies. The target is organized under the laws of Belgium, with its corporate seat in Brussels. Armonea is currently controlled by Cofintra SA and Oaktree Invest NV through Stichting Administratiekantoor Armonea.
