SECTION 1.2

Description of the concentration

The notified concentration consists of Keolis Nordic AB’s acquisition of sole control over Busslink i Sverige AB and its subsidiaries.

Keolis Nordic AB’s main activity is to own interests in transport services in Sweden and Norway. Keolis Nordic AB is a wholly owned subsidiary of Keolis SA. Busslink i Sverige AB is a passenger transportation company which has as its main activity the operation of bus services for Public Transportation Authorities in

Busslink i Sverige AB is currently under the joint control of Keolis Nordic AB and AB Storstockholms Lokaltrafik. The two companies have entered into a share purchase agreement through which Keolis Nordic AB will acquire the remaining 30% of the shares in Busslink i Sverige AB from AB Storstockholms Lokaltrafik. As a consequence of this transaction, a change will occur in the quality of control over Busslink, as Keolis Nordic AB will solely control Busslink.
