SECTION 1.2
Description of the concentration
Henkel KGaA, Germany (“Henkel”) intends to acquire from Akzo Nobel N.V., the Netherlands (“Akzo”) all assets and liabilities comprising the adhesives and electronic materials businesses (the “A&E Businesses”) that Akzo recently acquired from Imperial Chemical Industries PLC, UK. Akzo will transfer the A&E Businesses to Henkel and the respective activities will be solely controlled by Henkel (Article 3(1)(b) of Council Regulation No. 139/2004).
The business activities of the undertakings concerned comprise:
• for Henkel: production and supply of laundry and home care products, cosmetics and toiletries, adhesives, sealants and surface treatment products;
• for the A&E Businesses: production and supply of industrial adhesives and electronic materials as well as certain industrial surface treatment products.
