SECTION 1.2

Description of the concentration

On 15 February 2013, the Commission received a notification of a proposed concentration

pursuant to Article 4 of Council Regulation (EC) No. 139/2004 by which Honeywell

International, Inc. (“Honeywell”), through its wholly owned subsidiary Hawkeye Merger Sub,

is to acquire control, within the meaning of Article 3(1)(b) of the Council Regulation, of

Intermec, Inc. (“Intermec”). The Transaction will lead to Honeywell acquiring sole control

over Intermec.

The proposed concentration concerns the rugged mobile computer and scanning industries.

The acquisition of Intermec will enable Honeywell to develop its mobile computing business.

It will also allow Honeywell to expand its addressable market with complementary new

products, services, software, channel partners and enter into segments such as radio-frequency

identification (“RFID”), voice, barcode labelling and receipt printing. The addition of

Intermec to Honeywell’s current scanning and mobility offering is a natural extension of its

business.

The parties submit that the proposed Transaction does not raise serious doubts as to its

compatibility with the EU Merger Regulation.
