Subject: Case No COMP/M.6265 – CSN/ AG CEMENTOS BALBOA/ CORRUGADOS AZPEITIA/ CORRUGADOS LASAO/ STAHLWERK THURINGEN Commission decision pursuant to Article 6(1)(b) of Council Regulation (EC) No 139/2004

1.On 14.06.2011, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which the undertaking CSN Steel S.L., (Spain) belonging to group Companhia Siderúrgica Nacional acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of the whole of the undertakings:

-− AG Cementos Balboa, SA, (Spain),

-− Corrugados Azpeitia, S.L., (Spain),

-− Corrugados Lasao, S.L., (Spain), and

-− Stahlwerk Thüringen GmbH (Germany),

by way of purchase of shares.

The business activities of the undertakings concerned are:

-− For undertaking CSN: mainly active in production of steel (primarily flat steel products), mining, infrastructure, cement and carbo-chemical products,

-− For undertaking AG Cementos Balboa, SA: mainly active in the manufacture of cement,

-− For undertaking Corrugados Azpeitia, S.L.: mainly active in the manufacture of semi-finished steel products and steel reinforcing bars,

-− For undertaking Corrugados Lasao, S.L.: mainly active in the manufacture of steel electrowelded mesh; and,

-− For undertaking Stahlwerk Thüringen GmbH: mainly active in the manufacture of semi-finished steel products and certain long steel products (mainly sections and beams).

3After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(c) of the Commission Notice on a simplified procedure for treatment of certain concentrations

under Council Regulation (EC) No 139/2004.

For the reasons set out in the Notice on a simplified procedure, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation.
