Description of the concentration

This notification relates to the proposed acquisition of the entire shareholding of North Sea Midstream Partners Limited (“NSMP”) from NSMP (Finance) Limited, an affiliate of ArcLight Capital Partners, LLC, by a special purpose vehicle ultimately controlled by the Kuwait Investment Authority. NSMP is a North Sea mid-stream gas infrastructure business that owns four natural gas transportation and processing assets in and around the UK North Sea. There are no reportable markets.
