SECTION 1.2

Description of the concentration

The notified transaction involves the acquisition of sole control of Mátrai Erőmű Zártkörűen Működő Részvénytársaság and its wholly-owned subsidiaries (“Matra”) by Energetický a průmyslový holding, a.s. (“EPH”). The transaction will take place pursuant to a Share Purchase Agreement. The business activities of the undertakings concerned are:

− EPH is a utility company engaged in coal extraction, electricity and heat production, distribution and supply, as well as gas supply in several EU Member States.

− The core business of Matra is the generation and supply of electricity. Matra owns and operates a 966 MW, mainly lignite-fired, power plant located in Visonta (Hungary).

Even though both Matra and EPH are active on the market for the generation and wholesale supply of electricity in Hungary, the Transaction does not raise any competition concerns, as the overlaps between the activities of EPH and those carried out by Matra are not substantial.
