SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration under Article 4 of Council Regulation (EC) No. 139/2004 (the “EU Merger Regulation”), pursuant to which Brookfield Asset Management Inc. (“Brookfield”), through its indirect subsidiary BIF IV Europe Holdings Limited and Mansa Investments Sp. z o.o. (“Mansa”), an indirectly controlled subsidiary of Ms Dominika Kulczyk, shall acquire joint control, within the meaning of Article 3(1)(b) of the EU Merger Regulation, over Polenergia S.A., currently solely controlled by Mansa, by way of the purchase of shares.

The business activities of the undertakings concerned are:

• with respect to Brookfield – global asset manager focused on property, renewable power, infrastructure and private equity;

• with respect to Mansa –holding company activities;

• with respect to Polenergia – production and sale of energy and related activities.
