SECTION 4
Description of the concentration
This notification concerns the following undertakings:
4.1.1Marubeni Corporation ("Marubeni", Japan); and
4.1.2Certain subsidiaries of TrustEnergy BV ("TrustEnergy Subsidiaries", Portugal)
4.2Marubeni acquires within the meaning of Article 3(1), point (b) of the Merger Regulation sole control of certain subsidiaries of TrustEnergy. It currently has joint control of these subsidiaries.
4.3The concentration will be accomplished by the purchase of shares of certain subsidiaries of TrustEnergy BV by Marubeni.
The business activities of the undertakings concerned are:
4.4.1Marubeni: Marubeni is a Japanese trading and investment company active worldwide with diverse business activities across wide-ranging fields. This includes lifestyle, IT solutions, food, agribusiness, forest products, chemicals, metals and mineral resources, energy, power, infrastructure project, aerospace and ship, finance, leasing and real estate business, construction, industrial machinery and mobility, next generation business development and next generation corporate development.
4.4.2TrustEnergy Subsidiaries: TrustEnergy is a joint venture between Marubeni and Engie which operates in the electricity generation sector in Portugal. Marubeni and Engie have agreed to terminate the joint venture and divide the businesses between them. The subsidiaries to be acquired by Marubeni comprise electricity generation plants using wind or natural gas, and development projects for electricity generation using solar and production of hydrogen.
