SECTION 4

Description of the concentration

Ocean Yield AS (“OY”) is acquiring joint control in France LNG SAS (“FLS”), an existing full function joint venture, by purchasing shares in Geogas LNG SAS (“GLS”), from DIF Management B.V. (“DIF”) and Marigold ACP S.àr.l. (“Marigold”) (“Transaction”).

Pre-Transaction, FLS is jointly controlled by NYK, and through their joint control of GLS, Geogas Maritime SAS (“GMaritime”), Marigold and DIF. Post-Transaction, FLS will be jointly controlled by OY, Marigold, GMaritime and NYK.

The Parties are described below:

-- OY is a Norwegian ship owning company. Pre-Transaction it does not own any LNG vessels. OY is indirectly owned by funds, vehicles and/or accounts advised and managed by subsidiaries of KKR & Co. Inc, a global investment firm, incorporated in Delaware (USA);

-- GMaritime (incorporated in France) trades LPG and owns LPG vessels worldwide. GMaritime is part of the Geogas Group, a French group, specialised in LPG;

-- Marigold (registered in Luxembourg), is an investment holding company. Access Capital Partners Group S.A (“ACP”) controls Marigold, and is ultimately owned by French individuals (Agnès Nahum, Philippe Poggioli and Dominique Peninon). ACP is an asset manager investing in Western Europe;

-- NYK is a listed Japanese shipping services and logistics provider specialising in international marine transportation;

-- GLS (incorporated in France) acts as a holding company;

-- FLS (incorporated in France), via its subsidiaries owns, manages and supplies LNG vessels to Europe-based customers.

The acquisition constitutes a concentration under Articles 3(1)(b) and 3(4) EUMR and requires notification to the European Commission under Article 4(1) EUMR.
