SECTION 1.2

Description of the concentration

On 29 November 2018, the Commission received notification of a proposed concentration, within the meaning of Article 4 of the Council Regulation (EC) No 139/2004 of 20 January 2004, pursuant to which Bolloré Africa Logistics, registered in France, and APM Terminals BV ("APMT"), registered in the Netherlands, will acquire joint control within the meaning of Articles 3(1)(b) and 3(4) of the EUMR over Côte d'Ivoire Terminal ("CIT"), a company registered in Ivory Coast and established to construct and operate a new container terminal in the Port of Abidjan, Ivory Coast, pursuant to the successful bid submitted by a consortium comprising the notifying parties.

The parties to the proposed concentration will acquire joint control over CIT by means of purchase of shares.

The business activities of the undertakings concerned are:

(a) Bolloré Africa Logistics: logistics services, including freight forwarding, customs clearance and warehousing, and port terminal and railway management and operations.

(b) APMT: operation of container terminals and inland services.

(c) CIT: development and operation of a new deep sea container terminal in the Port of Abidjan, Ivory Coast, intended to accommodate large deep-sea vessels and a trans-shipment hub.
