SECTION 1.2

Description of the concentration

Deutsche Telekom AG (DTAG), a provider of fixed and mobile telecommunications services, intends to acquire sole control (within the meaning of Article 3(1)(b) of Council Regulation (EC) No. 139/2004) of Hellenic Telecommunications S.A. (OTE), the Greek telecommunications provider, by way of a share acquisition and a Shareholders’ Agreement between DTAG and the Hellenic Republic. The business activities of the undertakings are as follows: • DTAG is active in all aspects of mobile and fixed telecommunications, mainly in Germany; • OTE is active in all aspects of mobile and fixed telecommunications services, mainly in Greece.
