Description of the concentration

1.The notified Transaction consists in the acquisition of sole control of Delphi Automotive PLC’s Thermal Systems Business by MAHLE Behr GmbH & Co. KG, a subsidiary of MAHLE GmbH.

2.MAHLE, with its headquarters in Stuttgart, Germany, is a system supplier for piston systems, cylinder components, valve train systems, air management systems, liquid management systems, engine cooling and air management to the automotive and the engine industry with an on-site presence in all important markets around the world.

3.Delphi is a global vehicle components manufacturer and is active in the segments Electrical/Electronic Architecture, Powertrain Systems, Electronics and Safety, and Thermal Systems. Delphi’s Thermal Systems Business which is the target of the proposed transaction includes heating, ventilating and air conditioning (“HVAC”) modules, as well as products for engine cooling and related technologies.
