SECTION 1.2

Description of the concentration

On 21 December 2017, the Commission received a notification of a proposed concentration which would result in EG Group Limited (“EG Group”), acquiring within the meaning of Article 3(1)(b) of Council Regulation (EC) 139/2004 a business unit currently owned by ESSO Deutschland GmbH (the “ESSO Germany Business”).

i. EG Group is the holding company of a group of companies operating under the “EG” brand, active in the operation of fuel stations with ancillary backcourt convenience retail, car wash, fast food, restaurant and hotel offerings in the United Kingdom, Belgium, France, Luxembourg and the Netherlands.

ii. The ESSO Germany Business is active in the retail sales of motor fuels via a nationwide network comprising approximately 1,017 ESSO-branded fuel stations located in Germany.
