SECTION 1.2

Description of the concentration

1.On 20 August 2018, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) n°139/2004 by which Total S.A. will acquire sole control of (i) Pont-sur-Sambre Power and (ii) Toul Power, each operating, under the commercial brand Celest, a combined cycle gas turbine power plant. The proposed concentration concerns the electricity and gas sectors in France.

2.Total S.A. is an international integrated energy producer and provider, active in all sectors of the oil and gas industry, as well as in the renewable energy and power generation sectors.
