SECTION 1.2

Description of the concentration

1.On 13 October 2022 the European Commission received the notification of a proposed transaction pursuant to Article 4 of Council Regulation (EC) No. 139/2004 ("EU Merger Control Regulation") by which Vynova Holding S.A. ("Vynova"), or one of its affiliates, intends to acquire sole control over Benvic Group SAS ("Benvic").

The primary business activity of the undertakings concerned are as follows:

-- Vynova is a Luxembourg société anonyme ultimately controlled by International Chemical Investors 4 S.E., a privately owned industrial holding company incorporated in Luxembourg, active worldwide in agrochemicals, fine chemicals, basic chemicals, and performance chemicals. Vynova is mainly active in the field of chlor-alkali chemistry and commodity S-PVC production.

-- Benvic develops, produces, and markets PVC-based thermoplastic solutions in the form of powders and compounds that are utilized across a wide range of rigid and flexible end-applications including building and construction, automotive and aerospace, cabling, packaging and fluid transport.
