SECTION 1.2
Description of the concentration
On 13 May 2008, Hewlett-Packard Company (HP) and Hawk Merger Corporation (MergerCo), a Delaware corporation formed and currently wholly owned by HP, entered into an Agreement and Plan of Merger to merge MergerCo with Electronic Data Systems Corporation (EDS).
MergerCo is solely controlled by HP. HP is a global technology company with a broad portfolio of hardware, services and software, which it provides to consumers, businesses and institutions globally. HPís offerings span IT infrastructure (including outsourcing), personal and enterprise computing and access devices, global services, and imaging and printing, for consumers, enterprises and small and medium-sized businesses.
EDS is a global technology services company delivering business solutions to its clients. It provides a range of IT outsourcing and business processing outsourcing services to clients in the manufacturing, financial services, healthcare, consumer and retail industries and to governments around the world.
