Description of the concentration
The transaction concerns the acquisition of joint control by funds managed by (i) affiliates of Apollo Global Management, Inc. (together with its subsidiaries, “Apollo”), (ii) a fund managed by Clessidra Private Equity SGR S.p.A. (“Clessidra”) and (iii) Human Company S.r.l. (“HC”) over HU Holding S.r.l. (“HU Holding”).
HU Holding is an Italian holding owned by HC. It operates eleven campsites in Italy, one in Luxembourg and a hostel in Florence. It also provides food and beverage services at sale points within its facilities. It has a tour operator managing accommodation units in four third party-operated campsites in Italy.
HC is a Florentine group devoted to the outdoor hospitality sector in the EU, focusing specially on Italy.
Apollo is a high-growth global alternative asset manager headquartered in New York. Apollo offers investment management and financial planning services to individuals and institutional investors.
Clessidra is a Milan-based management company, owned by Italmobiliare, that invests on the Italian market in industrial goods and services, financial services, consumer products and retail, business services and healthcare.
Italmobiliare is an investment company based in Italy that owns and manages a diversified portfolio of equity and investments in multiple sectors, including consumer products and retail, healthcare and energy.
The transaction will be implemented by way of subscription of shares. The Investment Agreement was signed on 15 July 2024.
As a result of the transaction, HU Holding will be jointly controlled by Apollo, Clessidra and HC within the meaning of Articles 3(1)(b) and 3(4) of the Merger Regulation.
