SECTION 1.2

Description of the concentration

The European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 (“EUMR”) by which Nexans S.A. (“Nexans”) intends to acquire a 96% stake within the meaning of Article 3(1)(b) EUMR in Gruppo LTC S.p.A. (the “Target”) (the “Transaction”). The Transaction will be accomplished by an acquisition of shares in the Target.

The business activities of the undertakings concerned are:

• Nexans S.A. is a French joint stock corporation (société anonyme) governed by the laws of France and listed on the regulated market of Euronext Paris (ISIN: FR0000044448). Nexans has its registered office in Courbevoie, France, and is active in the production and sale of electrical cables and energy transport solutions and services. Nexans’ has four main business areas: Generation & Transmission (cabling systems for high voltage projects such as wind-farms); Distribution (medium and low voltage cables for transportation of energy to its point of consumption); Usage (low voltage cables for connecting end users to energy distrubution networks) and Industry & Solutions (tailored cabling and connection solutions to OEMs and industrial infrastrcuture project managers in fields such as transport, automatic devises, or renewable energy).

• Gruppo LTC S.p.A. holds the entire share capital of La Triveneta S.p.A. (“La Triveneta”). Gruppo LTC does not have any other activity or affiliates. La Triveneta is a company governed by the laws of Italy with its registered office in Brendola, Italy. La Triveneta is mainly active in the production and sale of general wiring cables for a variety of electrical applications, construction, industries, and renewable technologies. La Triveneta is also to a limited extent producing and selling medium-voltage power cables.
