The Competition DG makes the information provided by the notifying parties in section 1.2 of Form CO available to the public in order to increase transparency. The Commission has received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the EUMR). On 17 November 2023, OMERS (represented by OMERS Infrastructure European Holdings 2 B.V. (OMERS Infrastructure)) and APG on behalf of ABP notified their intention to acquire joint control over a newly formed full-function joint venture (the JV) within the meaning of Article 3(4) EUMR, in which 100% of the shares in Kenter B.V. (Kenter) will be transferred (the Proposed Transaction). The Proposed Transaction is a concentration within the meaning of Article 3(1) EUMR.
The areas of activities of the undertakings concerned by the notified concentration are as follows:
(i) OMERS Infrastructure: OMERS Infrastructure is the European infrastructure investment platform for OMERS Administration Corporation (OMERS). OMERS is the administrator of the Ontario Municipal Employees Retirement System Primary Pension Plan, a sponsored, defined benefit pension plan, providing retirement benefits for municipal employees in the Province of Ontario, Canada.
(ii) ABP: is a Dutch pension fund for the governmental and educational sector in the Netherlands. Its subsidiary APG manages the assets of ABP with a total value of approximately 530 billion euros (as of April 2023). APG has offices in Heerlen, Amsterdam, Hong Kong and New York, and satellite locations in Brussels, Shanghai, and Beijing.
(iii) Kenter: supplies innovative solutions for metering and energy service and maintenance in the Netherlands. This includes installing meters, supplying metering data, and providing insight into energy usage via online analyses. In addition, Kenter is responsible for the sale, rental, construction, service and maintenance of mid-voltage installations in the free market domain. Kenter also provides battery storage solutions. The sale, rental, construction, service and maintenance of electric vehicle charging infrastructure is a small part of Kenter’s business.
