SECTION 1.2
Description of the concentration
ADT LLC ("ADT"), a wholly owned subsidiary of ADT, Inc., intends to acquire joint control, within the meaning of Articles 3(1)(b), 3(2) and 3(4) of the EUMR, together with Ford Next LLC ("Ford Next") over SNTNL LLC ("SNTNL").
SNTNL intends to develop, manufacture and sell connected, intelligent vehicle security systems and related services such as third-party monitoring.
Ford Next is a subsidiary of Ford Motor Company ("FMC"). FMC is a global company based in Dearborn, Michigan. It is the parent company of the Ford Group of companies which designs, manufactures, markets and services a full line of Ford cars, trucks, SUVs, electrified vehicles and Lincoln luxury vehicles, provides financial services through Ford Motor Credit Company and is also active in electrification, autonomous vehicles and mobility solutions. Ford Next houses the self-driving vehicle business operations of Ford Group, including its self-driving systems integration, autonomous vehicle research and advanced engineering, AV transportation-as-a-service network development, user experience, business strategy and business development teams.
ADT is a provider of security, automation, and smart home solutions based in the United States. ADT offers 24/7 professional monitoring services as well as solutions through professionally installed, do-it-yourself, mobile, and digital-based offerings. ADT is controlled by investment funds managed by affiliates of Apollo Management, L.P.
