Description of the concentration

The European Commission has received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which Swiss Life International Holding AG, Switzerland intends to acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control over Elips Life AG, Principality of Liechtenstein and of the A&H insurance portfolio of Elips Versicherungen AG, Principality of Liechtenstein (together with Elips Life AG referred to as "ELAG-A&H").

ELAG-A&H are providers of insurance services for institutional clients. They offer insurance products that cover the financial consequences of illness and accidents with a focus on occupational and private pension provision for death and disability risks. ELAG- A&H's clients are pension funds, collective foundations, companies, and associations with up to 10 000 employees. ELAG-A&H is active in Belgium, Germany, Austria, Italy, Liechtenstein, the Netherlands, and Switzerland. Further information can be found at www.elipslife.com.
