SECTION 1.2

Description of the concentration

1.1. The Commission received a notification of a Transaction pursuant to Article 4 of the Council Regulation (EC) No 139/ 2004 by which E.ON SE (“E.ON”) and Berliner Stadtwerke GmbH (“BSW”) intend to form a jointly controlled joint venture.

2.2. The business activities of the Parties are the following:

(a) E.ON is a DAX-listed European energy company based in Essen, Germany. Its activities are focused on two main business pillars: (i) energy distribution networks and (ii) customer solutions (including electricity and gas retail supply).

(b) BSW is based in Berlin, Germany and a 100%-subsidiary of Berliner Wasserbetriebe Anstalt des öffentlichen Rechts. Both companies are municipal utilities. BWB is active with regard to drinking water supply and provide wastewater treatment services. BSW’s activities focus on the construction and operation of renewable energy plants and electricity retail supply.

3.3. The newly formed joint venture will construct and operate a new district heating and cooling network in Berlin as well as generation facilities on the site of today’s Berlin Tegel Airport. After closing and decommissioning of the airport, the area shall be developed with two new residential/commercials areas and the joint venture shall provide district heating and cooling supply to customers in the area via the newly constructed network.
