SECTION 4

Description of the concentration

Pursuant to a share purchase agreement, ALSO Holding AG (Switzerland) ("ALSO") will acquire all shares in, and sole control of, SWS, a.s. (Czech Republic) ("SWS") (the "Transaction"). At the time of closing of the Transaction, SWS will have two wholly-owned subsidiaries, i.e., Entec Solutions, a.s. (Czech Republic) and SWS International, s.r.o. (Slovakia).

As a result, ALSO will have sole control of SWS within the meaning of Article 3(1), point (b) of the Merger Regulation.

The business activities of the undertakings concerned are:

a. for ALSO: ALSO, which is ultimately controlled by Droege Group AG (Germany), is mainly active in the wholesale of products in the fields of information and communication technology, consumer electronics and printing consumables in Europe. To a small extent, ALSO offers ancillary services related to its wholesale activities, such as network marketing services, customer service, training, and financial services. In a few countries, ALSO has limited activities in the retailing of information and communication technology products and consumer electronics.

b. for SWS: SWS is mainly active in the wholesale of products in the fields of information and communication technology, consumer electronics and printing consumables in the Czech Republic and Slovakia.
