Description of the concentration

Groupe Norbert Dentressangle S.A. (ìGroupe Norbert Dentressangleî) intends to acquire sole control of Christian Salvesen PLC (ìChristian Salvesenî), through the cash acquisition of the entire issued and to be issued share capital of Christian Salvesen.

Groupe Norbert Dentressangle is a logistics and transport services provider, operating primarily in continental Europe with 190 locations in 13 countries. Groupe Norbert Dentressangleís operations are organised between two principal divisions, logistics and transportation.

Christian Salvesen is a provider of outsourced logistics services for manufacturing and retail customers in the industrial, consumer and food sectors, with operations in the UK, France, Benelux, Ireland, Portugal and Spain. Christian Salvesenís operations are organised between two principal divisions, logistics and transport, both of which provide contract logistics services.

Groupe Norbert Dentressangle considers that the partiesí activities are geographically complementary and that the proposed acquisition will not result in any significant impediment to effective competition as it gives rise to little horizontal overlap with only low combined market shares.
