SECTION 1.2

Description of the concentration

1.On 2 September 2021, the Commission received notification of the acquisition of joint control by Canada Pension Plan Investment Board (CPP Investments) and FountainVest Capital Partners GP4 Ltd. (FountainVest) of Beijing Zhendong Langdi Pharmaceutical Co., Ltd. (Langdi Pharmaceutical).

2.CPP Investments is an investment management organisation that invests the funds of the Canada Pension Plan Fund and is based in Toronto, with offices in Hong Kong, London, Luxembourg, Mumbai, New York City, São Paulo, San Francisco and Sydney. CPP Investments principally invests in public equities, private equities, real estate, infrastructure and fixed income investments.

3.FountainVest is an independent private equity firm that invests in multiple sectors, including consumer, media, technology, healthcare, industrials and financial services. FountainVest has offices in Hong Kong, Shanghai and Beijing.

4.Langdi Pharmaceutical is a pharmaceutical company mainly active in the production and supply of calcium supplements for children, pregnant and lactating women, menopausal women and elderly people, to help prevent and treat osteoporosis.
