SECTION 1.2

Description of the concentration

1.On 16 July 2018, the Commission received notification of a proposed concentration pursuant to Article (3)(1) of Council Regulation (EC) N°139/2004, by which Webhelp SAS and its subsidiaries, which are ultimately controlled by funds advised by indirect affiliates of KKR & Co. Inc., will acquire sole control of SELLBYTEL Group GmbH, SELLBYTEL Group, SA, Invires GmbH and Righthead GmbH and their subsidiaries (the Sellbytel Group).

2.KKR & Co. Inc. is a global investment firm, which offers a broad range of alternative asset management services to public and private market investors and provides capital markets solutions for the firm, its portfolio companies and clients.

3.Webhelp is a French-headquartered IT services provider active primarily in the provision of business process outsourcing services. It offers a range of core services such as technical assistance for customer loyalty services and claims management, multichannel client data collections, digital and marketing services, payment services and enterprise solutions.

4.The Sellbytel Group is a German-based IT services provider, which is also active primarily in the provision of business process outsourcing services, including sales (inside sales, external field sales force, channel management, account management), technical support (customer care, IT services, order management), back-office (invoicing, sales solutions) and outsourced training and recruitment services in 28 locations in Europe, Asia and North America.
