SECTION 1.2

Description of the concentration

The proposed concentration concerns the acquisition of joint control over Ferrum Packaging AG („Ferrum Packaging”) by KHS GmbH („KHS”) and Ferrum AG („Ferrum”).

Ferrum is the parent company of a Swiss group of companies, which – through Ferrum Packaging – is active in the development and production of can seamers for the food and beverage packaging industry. Currently, Ferrum solely controls Ferrum Packaging. Ferrum – through its other wholly owned subsidiary – Ferrum Process Systems AG – is also active in the development and supply of industrial centrifuges for use in, e.g., the chemical or pharmaceutical industry.

KHS is an international manufacturer of machines for the filling and packaging of cans, bottles, kegs, and pouches for the beverage, food, and non-food industries. In addition to filling machines, KHS offers machines for the labelling, packaging, and palletizing of such containers as well as conveyor belts for transport within the packaging process. The company has its headquarters in Dortmund, Germany.

By way of a capital increase, KHS will acquire a jointly controlling minority shareholding of 10% in Ferrum Packaging, while Ferrum will hold the remaining shares in Ferrum Packaging.
