SECTION 1.2

Description of the concentration

1.If P&C Insurance Holding Ltd (publ) ("IF P&C") has since 2008 held a minority

shareholding in Topdanmark A/S ("Topdanmark").

2.Over the course of 2011-2013 Topdanmark has bought back and cancelled shares

under a share buy-back programme. Due to an increase in IF P&C's shareholding

by acquisition of shares in 2011 and as consequence of the buy-back programme,

IF P&C has unintentionally obtained de facto sole control of Topdanmark.

3.IF P&C provides insurance products and services within the field of property and

casualty insurance (non-life insurance), but also has limited activities within the

life insurance field. IF P&C provides its insurance products and services in

a number of European countries, including but not limited to Denmark, Finland,

Sweden, Norway, Estonia, Latvia, Lithuania and Russia.

4.Topdanmark provides non-life and life insurance products and services

exclusively in Denmark.

5.The potential concentration affects only the market for provision of non-life

insurance in Denmark.
