SECTION 1.2
Description of the concentration
The present notification concerns a proposed concentration whereby EB International Holdings, Inc., a Delaware, USA corporation which is an indirect wholly-owned subsidiary of GameStop Corp., intends to acquire sole control, within the meaning of Article 3(1)(b) of Council Regulation (EC) No. 139/2004, of the French company SAS SFMI Micromania and its subsidiaries. The parties are active in the retail of video game products. Through the proposed transaction, GameStop will enter the French market, where it currently has no presence or activity.
In view of the fact that there is currently no overlap in the relevant geographic markets in which the parties operate, the parties are of the view that the present transaction does not have any impact on competition in these markets. In any event, the combined group will continue to face intense competition from a variety of retail channels in France and elsewhere.
