The Commission has received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the EUMR). On 14 February 2022, Nobian Industrial Chemicals B.V. (Nobian) and Norgh Holding notified their intention to create a full-function joint venture (HyCC Holding B.V.) within the meaning of Article 3(4) EUMR. Nobian’s green hydrogen business will be contributed to the joint venture. The transaction is a proposed concentration within the meaning of Article 3(1) EUMR.
The areas of activities of the undertakings concerned are as follows:
(i) Nobian: Nobian produces essential base chemicals for industries ranging from construction and cleaning to pharmaceuticals and water treatment;
(ii) Carlyle: Carlyle is an American multinational private equity, alternative asset management and financial services corporation; and
(iii) Green Investment Group and Macquarie : Green Investment Group is a specialist developer, sponsor and investor with a mission to accelerate the green transition, headquartered in Edinburgh, Scotland. Green Investment Group is controlled by Macquarie, a multinational independent investment bank and financial services company, headquartered and listed in Australia.
The relevant market is the global and at least EEA-wide market for the production and tonnage supply of hydrogen.
