Description of the concentration
This notification concerns the following undertakings:
a. Ultima Holding SA, a société anonyme established in Luxembourg, which is ultimately controlled by GIA Beni Stabili SRL and GIA Partecipazioni SRL.
b. BTB Holding Investments SA, a société anonyme established in Luxembourg, which is ultimately controlled by BB Holding Investment Sàrl.
Ultima Holding SA acquires, within the meaning of Article 3(1), point (b) of the Merger Regulation, sole control of the whole of BTB Holding Investments SA.
The concentration is accomplished by way of purchase of shares.
The main business activities of the undertakings concerned are:
a. for Ultima Holding SA: the Ultima group mainly consists of financial holding companies and has limited business activities in the media sector and in real estate.
b. for BTB Holding Investments SA: BTB is a financial holding company with subsidiaries active in the energy, steel, shipping, and innovation sectors.
