SECTION 1.2

Description of the concentration

The proposed transaction consists of the acquisition of sole control of Telenor Satellite Services AS (ìTSSî) by Apax Partners SA (ìApax Partnersî) within the meaning of Article 3 (1) (b) of the ECMR. The business activities of the undertakings concerned are:

• Apax Partners: is the management company of the investment fund Apax France VI and nine other investment funds. It provides management advice to and manages investments on behalf of investment funds. Apax Partners holds investments in the following sectors of industry and services: business and financial services, software and IT, retail and e-commerce, telecoms, media and communication, healthcare. In the two-way satellite communications services market, Apax Partners controls France Telecom Mobile Satellite Communications (ìFTMSCî) which is an international provider of two-way satellite communications services.

• TSS is a provider of communications solutions via satellite. TSS and its subsidiaries offer two-way satellite communications services together with related services and applications utilizing satellite capacity together with network infrastructure, switching capabilities, IP technology and other technology platforms.
