SECTION 1.2

Description of the concentration

On 1 June 2018, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 involving the acquisition by Otary RS NV, Eneco Wind Belgium NV and Electrabel NV of joint control over a newly to be created joint venture. The business activities of the undertakings concerned are:

-Otary RS NV is active in the development and construction of three Belgian offshore wind projects.

-Eneco Wind Belgium NV is active in Belgium in the production of electricity from wind energy. Eneco Wind Belgium NV participates in and manages both onshore and offshore wind farm projects.

-Electrabel NV is active in the production and sale of electricity from various sources, including from sustainable resources, natural gas and energy products and services.

-The joint venture will be active in the development, construction and operation of two offshore wind farm projects in Belgium: Mermaid and Seastar.
