SECTION 1.2

Description of the concentration

1.On 28 August 2020, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the "Merger Regulation"), by which certain investment funds advised and/or managed by Partners Group AG or its affiliates ("Partners Group") will acquire indirect joint control over European Crops Products 2 S.à r.l., which holds 100% of the shares in Rovensa S.A. (the "Proposed Transaction"). Rovensa S.A., headquartered in Portugal, is the parent company of the Rovensa group ("Rovensa").

2.At present, Rovensa is indirectly solely controlled by a fund managed and advised by Bridgepoint Advisers Limited (a wholly owned subsidiary of Bridgepoint Group Limited ("Bridgepoint")). Following completion of the Proposed Transaction, Bridgepoint will indirectly have joint control over Rovensa, alongside Partners Group, within the meaning of the Merger Regulation.
