SECTION 1.2

Description of the concentration

Stag Bidco Limited, an acquisition vehicle formed and controlled by funds managed by the Carlyle Group (“Carlyle”) intends to acquire sole control over RAC Limited (“RAC”). The nature of the business of the parties is as follows:

− Carlyle - Global alternative asset manager, which sponsors funds that invest globally across four investment disciplines (buyout, credit alternatives, growth capital and real estate) in a range of industries;

− RAC - Breakdown services provider, insurance broking, and provision of legal and motor claims services.
