SECTION 1.2

Description of the concentration

By means of the present transaction, Saint-Gobain Vetri S.p.A. (“Vetri”), Zignago Vetro S.p.A. (“Zignago”) and Ardagh Glass s.r.l. (“Ardagh”) intend to establish a joint venture (“JV”), which shall be active in the recycling of glass waste mainly in Central and Southern Italy.

The JV shall perform on a lasting basis all the functions of an autonomous economic entity. The transaction will fall, therefore, within the scope of application of Article 3(4) of Regulation (EC) 139/2004.

Vetri is an Italian company specialized in the production of glass packaging, primarily used for food and beverages. It belongs to the Saint-Gobain Group, ultimately controlled by Compagnie de Saint-Gobain SA, which is active in a number of the construction, habitat, packaging and innovative markets.

Zignago belongs to Zignago Holding, a group based in Italy, and also produces hollow glass containers used mainly for the packaging of food and beverages and cosmetics and perfumery..

Ardagh is the Italian subsidiary of Ardagh Glass, a group based in Ireland which is active in the production and sale of hollow glass.
