SECTION 1.2

Description of the concentration

This notification relates to the proposed acquisition of Heijmans UK Limited with its subsidiaries

(which include J.B. Leadbitter & Co. Limited and Denne Construction Limited). Heijmans UK Limited is currently ultimately owned by Heijmans N.V., the Dutch listed property development and construction group.

The acquisition will be made by a specially formed company, SB Tulip Nominee Company Limited ("Newco").

Newco is co-owned by Bouygues Batiment International (which has a majority interest) ("BBI") and certain managers of J.B. Leadbitter & Co Limited. BBI is ultimately controlled by Bouygues S.A, which will acquire sole control over Newco and its subsidiaries.

The object of the transaction is to allow the managers of J.B. Leadbitter & Co Limited to finance the purchase of Heijmans UK Limited with the financial assistance of Bouygues S.A.

Heijmans UK Limited and its subsidiaries are mainly active in housing and non-housing construction together with the provision of associated services of repair, maintenance and improvement of housing and non-housing buildings in the UK.

Bouygues S.A. is a major French-listed construction and telecommunications group. The construction division comprises three core business divisions: Bouygues Construction, Bouygues Immobilier and Colas. The telecommunications and media part of the business is split between audio visual and cinema production specialist, TF1, and mobile telephony and broadband provider, Bouygues Telecom.
