SECTION 1.2

Description of the concentration

1.1. The Transaction concerns the acquisition by CRH plc (“CRH”) of the “Divestment Business” being divested by Holcim Ltd. and Lafarge S.A. pursuant to the commitments submitted in Case M.7252 – Holcim/Lafarge, excluding the Cookstown cement plant in Northern Ireland. As a result of the Transaction, CRH will acquire sole control over the Divestment Business within the meaning of Article 3(2) of Council Regulation 139/2004.

2.2. The Divestment Business companies include RMX plants, aggregates quarries, integrated grey cement plants, grinding stations, and terminals as well as a white cement production facility, and production facilities for lime and mortar.

3. The business activities of the undertakings concerned are:

• For CRH: production and distribution of building materials, including grey cement, RMX, aggregates, lime, concrete blocks and related services;

• For the Divestment Business: grey and white cement, RMX, aggregates, lime and mortar.
