SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration pursuant to Article 4

of Council Regulation (EC) 139/2004 by which, ultimately, the undertakings Deutsche Bank AG ("Deutsche Bank") and American International Group, Inc. ("AIG"), through an indirect controlling interest in AIG Investor, acquire joint control within the meaning of Article 3(1)(b) of the EC Merger Regulation over the assets and business of the residential property complex in Moscow commonly known as Pokrovsky Hills.

The business activities of the undertakings concerned are as follows:

(1) For Deutsche Bank: a German joint stock corporation active in a variety of banking activities, including deposit and lending operations, issuing business, asset management, investment banking, as well as financial services

(2) For AIG: a New York Stock Exchange listed company providing insurance and financial services

(3) For Pokrovsky Hills: a residential property complex located in Moscow, Russian Federation
