SECTION 1.2

Description of the concentration

(1) Aurubis AG, Hamburg, Germany (Aurubis), intends to acquire certain assets and legal

entities which are currently owned by Luvata Espoo Oy, Espoo, Finland (Luvata), and

which constitute Luvata’s “Rolled Products Division” (LRP).

(2) Aurubis is one of the main copper producers in Europe. The core business of Aurubis

is the production of marketable copper cathodes from copper concentrates, copper

scrap and recycled raw materials. These are processed within Aurubis and its

subsidiaries in particular into wire rod, shapes as well as rolled products. The

production and sales activities also include precious metals and a number of other

products, such as sulphuric acid and iron silicate.

(3) Luvata – the seller – is a supplier of metals and offers solutions, services, components

and materials for manufacturing and construction. The target of the proposed

transaction, LRP, is one of the four divisions of Luvata.

(4) LRP has manufacturing facilities in Europe and the U.S. as well as sales offices in

Europe, the U.S. and Asia. LRP is a manufacturer of thin copper and copper alloy

rolled products for industrial use.
