SECTION 1.2

Description of the concentration

On 22 October 2007, the Commission received a notification of a proposed concentration

pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which the undertaking

Compagnie de Saint-Gobain (“Saint-Gobain”) acquires within the meaning of Article 3(1)(b) of

the Council Regulation control of the whole of the undertaking Maxit (“Maxit”) by way of

purchase of shares.

The business activities of the undertakings concerned are:

Saint-Gobain: the production and sale of materials such as glass, ceramics, plastics and

certain buildings materials. Saint-Gobain is also active in the distribution of building materials in

several EEA countries. In 2006, Saint-Gobain achieved a worldwide turnover of € 41,596 million.

Maxit: the production and sale of premix mortars and exclay and the design and assembly of

premix equipment for premix manufacturers. In 2006, Maxit achieved a worldwide turnover of €

1,237 million.
