SECTION 1.2

Description of the concentration

The notified transaction consists of two interrelated joint ventures named Gestamp Etem Automotive Bulgaria (the "PostOps JVC Bulgaria") and Etem Gestamp Aluminum Extrusions (the "Production JVC" and together with PostOps JVC Bulgaria, the "JVs") between Etem Bulgaria, S.A. ("Etem") on the one hand and Gestamp North Europe Services, S.L. ("Gestamp North Europe Services") on the other hand.

The Production JVC will manufacture aluminium extruded profiles. The PostOps JVC Bulgaria will comercialise and industrialise certain post extrusion activities on extruded profiles.

Gestamp North Europe Services is a subsidiary of Gestamp Automoci6n S.A., controlled by Acek Desarrollo y Gesti6nIndustrial, S.L. (the "ACEK Group") that provides management and technica l consultancy services to industrial manufacturing companies of metal components for the automotive sector.

Etem, controlled by Viohalco, S.A. ("Viohalco"), is a Bulgarian company active in aluminium solutions and extrusions for various applications.
