SECTION 1.2

Description of the concentration

On 15 May 2008, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 by which Warburg Pincus & Co. ("Warburg Pincus", USA) through its affiliates, acquires, within the meaning of Article 3(1)(b) of the Council Regulation, sole control over JPMP SK Holdings Limited ("Safetykleen", the United Kingdom) by way of purchase of shares.

The business activities of the undertakings concerned are:

-ïfor Warburg Pincus: private equity investor; and

-ï for Safetykleen: providing and servicing of parts and component cleaning machines, and providing ancillary services.

Warburg Pincus and Safetykleen (the "Parties") believe that the proposed concentration meets the conditions set in paragraph 5 of the Commission Notice on simplified procedure for the treatment of certain concentrations under Council Regulation (EC) No. 139/2004. The Parties to the proposed concentration have therefore requested to benefit from the Short Form CO.
