SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration under Article 4 of Council Regulation (EC) No. 139/2004 (the “EU Merger Regulation”) pursuant to which Brookfield Infrastructure Fund GP II LLC acting as general partner of the Funds (“Brookfield”) will acquire sole control over TDF S.A.S. (“TDF”). The transaction will therefore give rise to a concentration within the meaning of Article 3(1)(b) of the EU Merger Regulation.

This notification is being submitted by Brookfield.

The parties activities are as follows:

-- Brookfield is involved in asset management with investments in infrastructure.

-- TDF is a broadcasting and wireless telecom infrastructure platform operator, operating terrestrial broadcasting and telecommunications services.
