Notification of 01.06.2001 pursuant to Article 4 of Council Regulation (EEC) No. 14064/89 Publication in the Official Journal of the European Communities No. C 170/13 of 14.6.2001.
1.On 01.06.2001, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EEC) No. 4064/89 by which by which the undertakings Belgacom SA, a Belgian company (“Belgacom”) and Securitas AB, a Swedish company (“Securitas”), acquire within the meaning of Article 3(1)(b) of the Council Regulation joint control of the undertakings Belgacom Alert Services Holding NV/SA (BAS Holding), incorporated under Belgian law, of Compagnie Française de Sécurité et de Téléservices (“Domen”), a French company , and of Fco, another French company to be incorporated shortly, by way of purchase of shares in a company constituting a joint venture.
The business activities of the undertakings concerned are:
-for Belgacom : the provision of telecom services, multimedia and security services in Western Europe, though principally in Belgium
-for Securitas : the provision of security services including guarding services, alarm systems and cash in transit services worldwide

-for BAS Holding: the provision of alarm systems and guard services in Belgium and the Netherlands
-for Domen : the provision of alarm systems in France
-for Fco : it will comprise Securitas’s activities in alarm systems in France.
3.After examination of the notification, the Commission has concluded that the notified operation falls within the scope of Council Regulation (EEC) No. 4064/89 and of paragraph 4, subparagraph c, of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EEC) No 4064/89.
For the reasons set out in the Notice on a simplified procedure, the Commission has decided not to oppose the notified operation and to declare it compatible with the common market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of Council Regulation (EEC) No. 4064/89.
